Assistant Vice President, Tax

About the Opportunity

Our client, a fast-growing NYC tax practice, is seeking an Assistant Vice President to join their dynamic team. This role involves managing corporate compliance, buy/sell-side transactions, due diligence, and tax structuring. Requirements include a CPA or JD, experience in federal corporate tax compliance, and strong advisory communication skills to identify risks. It’s a unique opportunity for someone looking to go beyond compliance and add value to growth-stage companies.

The annual base salary range is $120,000 to $150,000. Actual compensation offered to the successful candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level, among other things. Details about eligibility for bonus compensation (if applicable) will be finalized at the time of offer.

 

Job Responsibilities

  • Handle the preparation and review of federal tax returns, including Forms 1120, 1065, and 1120-S, as well as state and local tax filings for diverse clients, including those with complex multi-entity or cross-border structures
  • Offer sales tax services, such as conducting nexus studies, managing sales tax registrations, facilitating voluntary disclosure agreements, and handling regular sales tax filings
  • Support corporate clients in claiming research and development (R&D) tax credits, researching best practices for conducting R&D tax studies, completing necessary tax documentation, and preparing supporting materials for audits
  • Provide comprehensive tax consulting and advisory services to our clients
  • Collaborate with a dynamic team to deliver tax due diligence and structuring services, effectively communicating findings and opportunities to clients
  • Conduct tax due diligence, assessing targets’ historical tax profiles, planning strategies, and reviewing their tax examination, acquisition/disposition, and filing history to identify risks and opportunities. Work with corporate and private equity clients on tax structuring and modeling for both buy-side and sell-side transactions
  • Apply and interpret U.S. federal tax laws, including Subchapters C, K, and S, consolidated groups, tax accounting methods, taxable and non-taxable transactions, tax attributes, and executive compensation, particularly as they relate to tax due diligence
  • Review and provide feedback on purchase agreements and disclosure schedules, assessing whether transactions are structured in a tax-efficient way
  • Oversee multiple projects at once, collaborating with M&A colleagues across the firm. Lead and mentor junior team members, helping them grow and develop their skills.

 

Job Requirements

  • A bachelor’s degree in accounting or a related discipline
  • 5-8 years of tax experience gained from working at a major public accounting firm, within a corporate tax department, or at a law firm
  • CPA, JD, or EA certification is required
  • Familiarity with a wide variety of corporate tax issues across different sectors
