About the Opportunity
Our client, a well-regarded financial services firm, is seeking a meticulous and resourceful Finance Paralegal to join their legal team in New York City. This professional will play a key role in maintaining corporate records, ensuring accurate entity and registered agent information, and managing the entity database with precision.
The Finance Paralegal will support corporate restructurings, handle preparation of board resolutions and governance documents, and maintain organizational charts. Responsibilities include monitoring compliance deadlines, coordinating entity dissolutions and wind-down filings, and responding to KYC and due diligence requests with comprehensive corporate records. The role also involves liaising with registered agents and outside counsel on entity filings and compliance matters.
The annual base salary range is $100,000 to $175,000. Actual compensation offered to the successful candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level, among other things. Details about eligibility for bonus compensation (if applicable) will be finalized at the time of offer.
Job Responsibilities
- Maintain corporate records, including organizational documents, governance records, operating agreements, and amendments
- Manage the entity management database, ensuring accurate entity, and registered agent information
- Support corporate restructurings
- Prepare board resolutions, written consents, and other corporate governance documents
- Maintain organizational charts and monitor compliance deadlines
- Coordinate entity dissolutions, withdrawals, and wind-down filings
- Respond to KYC and due diligence requests by providing corporate records and compliance documentation
- Liaise with registered agents and outside counsel on entity filings and compliance matters
Job Requirements
- 4+ years of paralegal experience
- Bachelor’s degree required
- Experience with entity management
- Experience in Financial Services
