About the Opportunity
Our client is a fast-growing technology company specializing in blockchain applications, artificial intelligence, machine learning, and other compute-intensive tasks. They have grown over 50% in the last 6 months and have no signs of stopping – with offices in Roseland, New Jersey, Philadelphia, an NYC office opening in the summer and the San Francisco office coming soon. They are currently looking to bring on a Senior Manager of SEC Reporting in these early stages to build their team. Working with the CFO and the Director of Investor Relations, you will help craft and manage the company’s equity story as a part of the future IPO.
The annual base salary range is $140,000 to $225,000. Actual compensation offered to the successful candidate may vary from posted hiring range based upon geographic location, work experience, education, and/or skill level, among other things. Details about eligibility for bonus compensation (if applicable) will be finalized at the time of offer.
Job Responsibilities
- Draft the initial paperwork for an IPO, ensuring it adheres to SEC standards, and make necessary adjustments based on feedback from the SEC
- Prepare various financial documents including 10-Ks, 10-Qs, 8-Ks, proxy statements, Forms 3, 4, and 5, Schedule 13, and Form 114 for submission to the SEC
- Collaborate closely with the CFO and Investor Relations lead to develop and communicate key performance indicators and metrics that support the company’s narrative for potential investors
- Manage all technical accounting aspects, such as documenting accounting decisions according to GAAP and ensuring compliance with PCAOB standards in all financial reporting
- Write and assess technical accounting memos and policies
- Supervise the implementation of external financial reporting tools, including XBRL tagging systems, with the assistance of external consultants
- Stay updated on regulatory changes and recommend best practices for reporting adjustments
- Offer accounting advice to cross-functional teams for complex transactions
- Serve as a point of contact for external auditors, lenders, and regulatory bodies
- Oversee the preparation of materials for board meetings and shareholder communications
- Collaborate with the internal audit team to ensure compliance with internal control over financial reporting (ICFR) and Sarbanes-Oxley Act (SOX) requirements
- Support the Controller, CFO, and Investor Relations team with any additional reporting projects as needed
Job Requirements
- 10-20 Years of SEC/External Reporting
- CPA Required
- Experience with AI/Cloud Computing/Data Center/Saas/StartUp is what the CFO is targetting (AWS,Google Cloud, Microsoft Azure, Lamda)
- Experience with Leases/Revenue within Technology
- Process driven, experience with complex IPOs
- Someone who can build & scale, has worked at a large organization with a market cap of at least 1 Billion
